§ 2-340. Meetings.

  • The board shall meet upon the call of its chairman, or a majority of its members, and at such times as may be specified in its bylaws for regular meetings, and a majority of its members shall constitute a quorum for the transaction of business. The affirmative vote of a majority of the members present at a meeting of the board shall be necessary for any action taken by the board. Any action taken by the board may be authorized by resolution, and such resolution shall take effect immediately unless a later effective date is specified in the resolution. No vacancy in the membership of the board shall impair the right of a quorum to exercise all the rights and perform all the duties of the board. All meetings shall be held in accordance with the Arkansas Freedom of Information Act, as amended (codified as Ark. Code Ann. § 25-19-101 et. seq.).
